Description
The European Corporate Law does not exist as a unified codified text. However, in recent decades, there has been an approximation of the legislation of the member states through the issuance of a series of European Directives concerning primarily capital companies, the issuance of European Regulations regarding the creation of supranational corporate forms, as well as the case law of the Court of Justice of the European Union ("CJEU"), especially with regard to the interpretation of Articles 49 and 54 of the Treaty on the Functioning of the European Union ("TFEU") on freedom of establishment.
The book "European Corporate Law" gathers all the sources of European Corporate Law. The chapters addressed by the author are as follows: Sources of European Corporate Law, Freedom of establishment in European Corporate Law, 1st Company Law Directive - Disclosure requirements, 2nd Company Law Directive - Capital, 3rd Company Law Directive - Merger of capital companies, 6th Company Law Directive - Division of capital companies, 10th Company Law Directive - Cross-border mergers, 11th Company Law Directive - Disclosure of branches, 12th Company Law Directive - Single-member private limited liability company, 13th Company Law Directive - Public takeover bids, Draft 14th Company Law Directive - Cross-border transfer of registered office, European (supranational) forms of companies and associations of persons (European Company, European Economic Interest Grouping, European Cooperative Society), Exercise of certain rights by shareholders of listed companies.
The work is a working aid for those who are engaged in research or professional activities related to corporate law at both Greek and European level. It is supplemented with an alphabetical index, which significantly facilitates the reader in his research.
